1. Agreement

These Terms of Service govern your use of clipstore.theformetal.com and any purchase made through it. The Site is operated by The Formetal Company LLC, located at 239 Third St, Forest Park Ga, 30297.

By accessing the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

2. Eligibility

You must be at least 18 years of age to place an order. By placing an order, you represent that you have the authority to enter into this agreement, including on behalf of any business entity you identify at checkout.

This Site is intended for commercial and professional use in the construction industry.

3. Products and Pricing

Prices are stated in U.S. dollars and are subject to change without notice. Steel and building material pricing is subject to frequent manufacturer adjustment; the price applicable to your order is the price displayed at the time your order is accepted.

We make every effort to display products and specifications accurately. Product images, weights, dimensions, and technical data are supplied by the manufacturer and are subject to change by the manufacturer without notice. In the event of a discrepancy, the manufacturer's current published data governs.

We reserve the right to correct pricing or descriptive errors, including after an order has been submitted. If a material error affects your order, we will contact you before proceeding and you may cancel without charge.

4. Order Acceptance

Your submission of an order constitutes an offer to purchase. We may accept or decline any order at our discretion. An order confirmation email acknowledges receipt but does not constitute acceptance. Acceptance occurs when the order is released for shipment.

We reserve the right to limit quantities, refuse service, or cancel any order, including orders that appear to be placed for resale in a manner inconsistent with manufacturer distribution agreements.

5. Product Suitability and Engineering

The products sold on this Site are structural and non-structural building components. Selection of the correct product for a given application — including load capacity, deflection criteria, fire rating, corrosion protection, fastener schedule, and code compliance — is the sole responsibility of the purchaser and the project's design professional of record.

Formetal is a manufacturer and distributor. We do not provide engineering services, structural design, code interpretation, or professional advice of any kind. Any product recommendation, technical reference, submittal document, or specification information provided by us or displayed on the Site is offered as general reference only, is drawn from manufacturer literature, and must not be relied upon as a substitute for review by a licensed design professional.

You are responsible for verifying that any product purchased is appropriate for its intended use and complies with all applicable building codes, project specifications, and approvals having jurisdiction.

6. Warranties

Products sold through this Site carry only the warranty extended by the original manufacturer. Manufacturer warranty terms, coverage, and remedies are available from the manufacturer and are incorporated by reference.

Formetal makes no warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Products are sold as-is with respect to any warranty from Formetal, with the manufacturer's warranty being the purchaser's sole warranty remedy.

7. Limitation of Liability

To the maximum extent permitted by law, Formetal's total liability arising out of or related to any product sold or these Terms shall not exceed the purchase price paid for the specific product giving rise to the claim.

Formetal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost revenue, project delay costs, liquidated damages, labor costs, costs of removal or replacement, or damage to other property, regardless of the theory of liability and even if advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold harmless Formetal, its officers, employees, and agents from any claim, damage, loss, or expense arising from your use or installation of products purchased through the Site, your breach of these Terms, or your violation of any applicable law or code.

9. Taxes

Applicable sales tax is calculated at checkout. If you are purchasing under a valid resale or exemption certificate, you must provide documentation to sales@theformetal.com prior to ordering. Tax charged on an order placed before an exemption certificate is received cannot be refunded retroactively.

10. Intellectual Property

Product names, trademarks, and manufacturer literature displayed on the Site are the property of their respective owners and are used to identify products offered for sale. Site content, layout, and original text are the property of Formetal and may not be reproduced without written permission.

11. Third-Party Links

The Site links to manufacturer websites and technical resources. We do not control those sites and are not responsible for their content, accuracy, or availability.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in Clayton County, Georgia, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms at any time. The version in effect at the time your order is accepted governs that order. Continued use of the Site after changes are posted constitutes acceptance.
